Terms of Service

1. Privacy Policy

Your use of the Platform is also governed by myPawPair's Privacy Policy, available at mypawpair.com/privacy, which is incorporated into these Terms by reference. Please review it carefully to understand our practices regarding your personal information.

2. License

Subject to these Terms, myPawPair grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose, managing and supporting the care of your pet. All rights not expressly granted to you are reserved by myPawPair.

3. Platform Eligibility

To be eligible to use the Platform, you represent, warrant, and agree that you:

• Are at least 18 years of age. The Platform is not intended for use by anyone under 18
• Have full legal capacity to enter into and be bound by these Terms
• Will not violate any other agreement by agreeing to these Terms
• Are not restricted from using the Platform for any reason
• Are not using the Platform for purposes that compete with or are adverse to myPawPair
• Will maintain only one account at any given time

4. Platform Purpose & Important Disclaimers

myPawPair is a pet care companion platform designed to help pet owners organize their pet's health information, connect with local providers, and access educational resources. By using the Platform, you understand and agree to the following:

Not a Substitute for Veterinary Care

The information, resources, and content available on myPawPair, including content generated by Charlie AI, are for general informational and organizational purposes only. Nothing on the Platform constitutes veterinary advice, diagnosis, or treatment, and nothing is intended to create a veterinarian-patient relationship. Always consult a licensed veterinarian for your pet's medical needs.

NEVER DELAY OR DISREGARD SEEKING VETERINARY CARE BECAUSE OF SOMETHING YOU HAVE READ OR ACCESSED ON THE PLATFORM.

No Guarantees on Provider Quality

myPawPair connects pet owners with local pet care providers. While we make reasonable efforts to vet providers who earn the myPawPair Verified badge, we do not guarantee the quality, reliability, safety, or suitability of any provider listed on the Platform. You are responsible for evaluating providers independently before engaging their services.

Direct Service Engagement

All providers listed on the Platform are independent service professionals, not employees or contractors of myPawPair. By engaging a provider, you acknowledge that the service agreement is strictly between you and the provider. myPawPair has no control over the performance, quality, or legality of the services provided.

MYPAWPAIR HEREBY EXPRESSLY DISCLAIMS, AND YOU HEREBY EXPRESSLY RELEASE MYPAWPAIR FROM, ANY AND ALL CLAIMS ARISING FROM OR IN ANY WAY RELATED TO THE INFORMATION, CONTENT, OR SERVICES PROVIDED ON OR THROUGH THE PLATFORM.

5. Charlie AI

Charlie AI (“Charlie”) is myPawPair's AI-powered pet care companion. Charlie is designed to provide general pet care guidance, help you navigate myPawPair's resources, and support you in managing your pet's information. You understand and agree that:

• Charlie's responses are generated by artificial intelligence and are for informational purposes only.
• Charlie is not a licensed veterinarian and cannot provide veterinary advice or diagnosis.
• Charlie's guidance does not replace the advice of a licensed veterinarian or other qualified veterinary professional.
• myPawPair makes no guarantee that Charlie's responses are accurate, complete, or current.
• Charlie's responses are only as accurate as the information you provide. You are responsible for ensuring that all information submitted to the Platform is complete, current, and accurate.
• You should always independently verify important health information and consult with a licensed veterinarian before making decisions regarding your pet's care.

6. Account Security

You are responsible for maintaining the security of your account. You agree to:

• Keep your login credentials confidential and not share them with others
• Be responsible for all activity that occurs under your account
• Notify us immediately at privacy@mypawpair.com of any unauthorized use of your account or any security breach
• Log out of your account at the end of each session

myPawPair is not liable for any loss or damage arising from your failure to maintain the security of your account.

7. Payment

myPawPair offers both free and paid subscription tiers. myPawPair facilitates paid subscription payments through Stripe, an independent third party payment processor. When you subscribe to a paid plan, you:

• Authorize myPawPair to initiate charges to your chosen payment method for the applicable subscription fee.
• Agree to provide accurate, current, and complete payment information.
• Acknowledge that your payment information is collected and processed directly by Stripe in accordance with their terms of service and privacy policy.

Subscription fees are clearly displayed before purchase. myPawPair reserves the right to change pricing with reasonable advance notice to subscribers. Refund requests are handled on a case-by-case basis. Please contact us for any billing inquiries at jackncharlie@mypawpair.com.

8. Your Responsibilities

By using the Platform, you agree to:

• Be solely responsible for your interactions with other Users and providers on the Platform.
• Provide accurate, truthful and complete information in your account and pet profiles, and keep it updated.
• Comply with all applicable laws, rules, and regulations in your use of the Platform.
• Use the Platform in an honest, respectful, and appropriate manner.
• Use the Platform only for its intended purpose, managing and supporting the care of your pet.
• Comply with any notices or communications we send regarding the Platform.

9. Prohibited Uses

In connection with your use of the Platform, you agree that you will not:

• Use the Platform in any way that is unlawful, harmful, fraudulent, or deceptive.
• Attempt to gain unauthorized access to any part of the Platform or another User's account.
• Reverse engineer, decompile, or attempt to derive the source code of the Platform.
• Attempt to manipulate or jailbreak Charlie AI, or present AI-generated content as professional, licensed, or human-authored advice.
• Overburden, disable, or impair the Platform's infrastructure, or scrape, crawl, index, or use any automated means (including bots, spiders, or scrapers) to collect, harvest, or interact with data from the Platform.
• Use any content from the Platform, including outputs generated by Charlie AI, to train, test, or fine-tune any other artificial intelligence, machine learning, or large language models without our express written consent.
• Upload or transmit any viruses, malware, or other harmful code.
• Harass, abuse, or harm any other User or provider.
• Impersonate any person or entity, or provide false information regarding your identity or your pet's information.
• Use the Platform to advertise or solicit business outside of the Platform's intended purpose or in any way that promotes competing services or any commercial activity not explicitly authorized by myPawPair.
• Remove, obscure, or modify any copyright, trademark, or other proprietary notices on the Platform.
• Infringe upon myPawPair's or any third party's intellectual property rights.

10. Pet Profile Data

You are responsible for the accuracy of all pet profile information you enter on the Platform, including health records, medications, and veterinary history. myPawPair stores this information to provide you with a personalized experience but does not verify the accuracy of information you provide.

You may export or delete your pet's profile data at any time by contacting us at privacy@mypawpair.com. Upon account deletion, your pet profile data will be removed in accordance with our Privacy Policy.

11. User Content

By submitting any content to the Platform, including pet information, photos, reviews, or other materials (“Content”), you grant myPawPair a non-exclusive, royalty-free, worldwide license to use, store, display, and reproduce that Content solely as necessary to provide and improve the Platform and your experience on it.

You represent and warrant that you own or have the right to submit any Content you provide to us, and that your Content does not violate any third-party rights or applicable law. myPawPair reserves the right, in its sole discretion, to remove any Content that we determine to violate these Terms.

12. Third-Party Services and Links

The Platform may include links to or integrations with third-party websites, applications, or services, including Stripe for payment processing and Google Places for provider information. myPawPair does not control third-party services and is not responsible for their content, availability, or privacy practices. Your use of any third-party service is at your own risk and subject to that service's own terms and privacy policy.

13. Recording Features

myPawPair may offer features that allow you to record or capture audio from veterinary visits or other pet care interactions for the purpose of generating AI-assisted summaries saved to your pet's profile. By using any recording feature, you:

• Represent that you have obtained all necessary consents from any other parties present during the recording, including your veterinarian or other care providers
• Acknowledge that recording laws vary by state and that you are solely responsible for complying with all applicable recording consent laws in your jurisdiction
• Understand that myPawPair stores recordings only as necessary to generate the requested summary and in accordance with our Privacy Policy

myPawPair is not responsible for any legal claims arising from your use of recording features.

14. Suspension and Termination

myPawPair may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your license to use the Platform will immediately end.

You may close your account at any time by contacting us at jackncharlie@mypawpair.com. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and dispute resolution, will continue to apply after termination.

15. Intellectual Property

All content, design, text, graphics, logos, and technology on the Platform, including myPawPair's name, brand, and the proprietary Charlie AI model, are the exclusive property of myPawPair LLC or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the Platform for personal, non-commercial use. You may not reproduce, modify, distribute, or create derivative works from any portion of the Platform, including Charlie AI outputs, without our prior express written consent.

If you believe in good faith that any content on the Platform infringes your copyright, please contact us at privacy@mypawpair.com with a description of the copyrighted work you claim is infringing, including where the content is located in the Platform, your contact information, and a statement that you are the copyright owner or authorized to act on the copyright owner's behalf.

16. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, INCLUDING RESPONSES GENERATED BY CHARLIE AI, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MYPAWPAIR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MYPAWPAIR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYPAWPAIR WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY DECISIONS MADE OR ACTIONS TAKEN BY YOU BASED ON INFORMATION PROVIDED BY CHARLIE AI. IN NO EVENT WILL MYPAWPAIR'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MYPAWPAIR IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

18. Dispute Resolution & Arbitration

You and myPawPair agree that any dispute arising out of or related to these Terms or your use of the Platform will be resolved through binding individual arbitration, not through a court of law or class action.

Informal Resolution

We want to solve problems directly. Before initiating any formal arbitration, you and myPawPair agree to attempt a good-faith, informal resolution of the dispute for a period of at least 30 days. Please reach out to us at jackncharlie@mypawpair.com to discuss any concerns.

Arbitration Process

Arbitration will be conducted under the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, available at www.adr.org or by calling 1-800-778-7879. A neutral arbitrator will be selected in accordance with AAA Rules. Arbitration will take place in Contra Costa County, California, or by videoconference at either party's request.

Exceptions

Either party may bring an individual claim in small claims court or seek emergency injunctive relief in a court of law to protect intellectual property rights. Nothing in this section prevents you from filing a complaint with applicable federal, state, or local agencies.

CLASS ACTION WAIVER: YOU AND MYPAWPAIR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

JURY WAIVER: YOU AND MYPAWPAIR HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE SUBJECT TO THESE TERMS.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in Alameda County, California.

20. Indemnification

You agree to defend, indemnify, and hold myPawPair harmless from and against any claims, damages, losses, liabilities, costs and reasonable attorneys' fees arising from or related to: (a) your breach of these Terms; (b) any Content you submit to or publish through the Platform; (c) your use or misuse of the Platform; (d) your violation of any applicable law or third-party rights (including intellectual property or privacy rights); or (e) the use of the Platform by any other person using your account.

21. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and myPawPair regarding the Platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. myPawPair's failure to enforce any provision of these Terms will not constitute a waiver of that provision. These Terms will inure to the benefit of myPawPair's successors and assigns.
